William M. Alleman, Jr.

Bill is a commercial and corporate litigator. Over his career, Bill has represented public and private companies of all sizes in various disputes. Bill also has significant experience representing lenders and borrowers in state and federal court, as well as bankruptcy proceedings and out-of-court restructurings. 

Before founding Meluney Alleman & Spence, Bill practiced at one of Delaware’s most prestigious law firms, before making partner at an AmLaw 200 law firm, where he was recognized as the go-to attorney for the most complicated cases. 

During law school, Bill was Editor-in-Chief of The Delaware Journal of Corporate Law and served as a Wolcott Fellow to Justice Randy Holland of the Delaware Supreme Court.

Bill resides in Lewes with his wife and two daughters.

Representative Matters

  • Counsel to an LLC’s founding member and manager in a dispute over control of the company.

  • Successfully defended claims of fraud and breach of contract in the sale of a closely-held company.

  • Obtained judgment for a crypto-currency company against former independent contractor for wrongful disclosure of company confidential information.

  • Representing investors in multiple SPACs involving alleged breaches of fiduciary duty by SPAC directors and sponsors.

  • Counsel to certain partners in a business divorce involving claims of bad faith conduct and other wrongdoing.

  • Litigation counsel in various commercial disputes with vendors, customers, and other third parties.

  • Successfully prosecuted and defended numerous claims for breaches of noncompetition, nonsolicitation, and other restrictive covenants.

  • Lead trial counsel to an international contract manufacturer in several multi-million dollar disputes over payment guarantees.

  • Represented numerous lenders and other creditors in distressed situations in out-of-court workout situations, foreclosure and state court enforcement proceedings, and bankruptcy proceedings.

  • Advised many Delaware entities in winddown and dissolution proceedings.
